GERONIGO PARTNER AGREEMENT

This agreement sets out the broad operating terms and conditions between Geronigo and partner activity providers (Partners).

1.   WE MARKET AND ADVERTISE YOUR BUSINESS.

Geronigo will promote your business on its Mobile APP and associated website and other digital marketing channels and media, with the aim of generating bookings and enquiries.

2.  CHOOSE WHICH BOOKINGS TO ACCEPT.

Geronigo will generate bookings which satisfy the Partner's own normal booking criteria including but not limited to minimum player numbers, maximum numbers, age restrictions, session timings.

When confirmed, a booking from Geronigo must be honoured with no less favour or preference as any other booking placed with the Partner from direct or third party sources.

Booking cancellation terms provided to the customer provide no cancellation or refund unless permitted by the Partners standard terms and conditions.

3.  SIMPLE BOOKING PROCESS

Booking enquiries are communicated via email, SMS or phone and confirm those bookings subject to your responses. The booking process is automated through our systems where possible, however we will call you where necessary to ensure a smooth booking process for you and the customer. We collect payment from the customer for all confirmed bookings and forward payment to you prior to the event date (except last any last minute bookings you accept) as detailed under AUTOMATED PAYMENTS.

4. COMMISSION FREE BOOKINGS.

Bookings or booking enquiries which fall under a commission free offer or promotion may at our discretion be forwarded to you with customer contact details. Final conversion and collection of payment for these lies solely with with the Partner provider.
Commission free booking balances reduce by the gross booking or booking enquiry value including applicable taxes. Unused balances automatically expire after 12 months.

5. COMMISSION BOOKINGS.

Our standard ongoing comission is 20%, however we will talk to you to confirm this at end of the commission
free booking period. You are under no obligation to continue.

6. AUTOMATED PAYMENTS.

Payments of the full retail package price less an agreed commission will be made automatically to your chosen bank account on the Wednesday days prior to an event date. Bookings made after Wednesday with an event date within 7 days will be paid on the following Wednesday unless otherwise arranged. To comply with local sales tax regulations your acceptance of a booking also represents the issuance of a tax invoice to us using the tax/company information you provided on signup and maintain through your account.

7. TERMINATE THIS AGREMENT WHENEVER YOU CHOOSE.

To end this agreement either party may give notice via electronic or written communication with immediate effect. Existing confirmed bookings must be honoured. The Partner business will be deactivated on Geronigo systems within one working day and removed from all marketing channels subject to reasonable data propagation and caching delays

8. OPERATE YOUR BUSINESS TO INDUSTRY STANDARDS.

The Partner accepts sole responsibility for ensuring public safety activities delivered by the Partner or representative and will conduct activities according to accepted industry standards.

Public Liability insurance will be maintained by the Partner to an appropriate minimum level.

Any complaints which may arise will be dealt with full co-operation from the Partner and will be resolved in a manner which proves satisfactory to all parties.

9. OUR TRADEMARKS REMAIN OUR PROPERTY.

The ownership, associated goodwill and all other rights associated with Geronigo Ltd trademarks vest absolutely with Geronigo Ltd and all rights will at all times hereafter and for all purposes remain vested in Geronigo Ltd.

10. UPDATES OR VARIATIONS TO THESE TERMS.

We may offer variations to the terms of business described in this document on an individual basis and in such cases the variation is deemed to be supplemental to this agreement.
We will periodically review and update these terms to make sure they are fit for purpose and we will communicate these variations to you during our routine communications to you. Updated terms replace all preceding terms.
